Agreement to Terms

These Terms and Conditions govern your access to and use of Skyvocal’s website, services, and products collectively referred to as “Services.” By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Services Description

Skyvocal provides wholesale VoIP termination, Cloud PBX solutions, virtual numbers, and related telecommunication services to businesses, carriers, and service providers.

Services are provided on a commercial basis and are not intended for residential or personal use. For service inquiries, email info@skyvocal.com.

Eligibility

By using our Services, you represent that you are at least eighteen years old; you have the legal authority to bind your company or organization; you are not located in a country subject to trade sanctions; and you will use our Services in compliance with all applicable laws.

Account Registration

Account Requirements. You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the security of your account credentials.

Account Responsibility. You are responsible for all activities that occur under your account, including all usage and charges. Notify us immediately at info@skyvocal.com of unauthorized access.

Prohibited Accounts. Accounts may not be transferred without our written consent. Contact info@skyvocal.com for authorization requests.

Fees and Payments

Pricing. Fees for Services are outlined in your service agreement or order form. Pricing may vary based on volume, destination, and service level. For pricing inquiries, email info@skyvocal.com.

Billing. We bill in advance for monthly services and in arrears for usage-based charges. Invoices are due upon receipt unless otherwise specified. Send billing questions to info@skyvocal.com.

Payment Methods. We accept major credit cards, wire transfers, and other payment methods as agreed.

Late Payments. Late payments may incur interest charges and result in service suspension or termination.

Taxes. You are responsible for all applicable taxes, duties, and fees.

No Refunds. Fees are non-refundable except as required by law or specified in your service agreement.

Service Usage and Acceptable Use Policy

Lawful Use. You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations.

Prohibited Activities. You may not use our Services for illegal, fraudulent, or abusive purposes; transmitting unlawful, threatening, or harassing content; robocalling, auto-dialing, or unsolicited telemarketing; generating traffic to premium rate numbers without authorization; infringing intellectual property rights; distributing malware or harmful code; or interfering with network security or operations.

Call Traffic Restrictions. We monitor traffic patterns and may restrict or suspend services for unusually high call volumes inconsistent with normal business use; suspicious or fraudulent calling patterns; termination to sanctioned destinations; or excessive call forwarding or automated dialing.

Unauthorized Access. You may not attempt to circumvent authentication or access systems without authorization. Report security concerns to info@skyvocal.com.

Acceptable Use Policy

Purpose. This policy ensures the privacy, reliability, and security of our network.

Prohibited Content. The following material may not be transmitted through our Services: false medical advice or products; violent or threatening content; pornography or obscene material; hate speech or discriminatory content; human trafficking content; or illicit drug distribution or manufacturing instructions.

Enforcement. Violation of this policy may result in immediate suspension or termination of Services without refund. We cooperate fully with law enforcement investigating violations. Report violations to info@skyvocal.com.

Unlimited Services. Services marketed as unlimited are subject to reasonable usage limits based on normal business patterns. Excessive use inconsistent with typical business usage may result in account review or alternative subscription offers.

Intellectual Property Rights

Our Rights. Skyvocal and its licensors own all rights, title, and interest in the Services, including software, trademarks, logos, and content.

License. We grant you a limited, non-exclusive, non-transferable license to access and use our Services during the term of your agreement.

Restrictions. You may not copy, modify, reverse engineer, or create derivative works of our Services. For permission requests, email info@skyvocal.com.

Service Level Agreement

Uptime Commitment. We strive for 99.99% network uptime, excluding scheduled maintenance and force majeure events.

Call Quality. We use industry-standard measures to ensure call quality but cannot guarantee quality affected by internet connectivity, third-party networks, or factors beyond our control.

Remedies. Service credits, if any, are specified in your service agreement. For SLA inquiries, contact info@skyvocal.com.

Termination

Termination by You. You may terminate Services by providing written notice to info@skyvocal.com as specified in your agreement. Fees incurred before termination remain payable.

Termination by Us. We may suspend or terminate Services immediately if you violate these Terms or our Acceptable Use Policy; fail to pay fees when due; provide false or misleading information; engage in illegal or fraudulent activity; or become subject to bankruptcy proceedings.

Effect of Termination. Upon termination, your right to access Services ends; outstanding fees become immediately due; we may delete your data subject to legal retention requirements; and you remain responsible for pre-termination obligations.

No Refunds. Terminated accounts are not entitled to refunds for unused portions.

Disclaimer of Warranties

Our Services are provided “as is” and “as available” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including merchantability; fitness for a particular purpose; non-infringement; accuracy or reliability; and uninterrupted or error-free service.

We do not warrant that Services will meet your requirements or be available without interruption.

Limitation of Liability

To the maximum extent permitted by law, in no event shall Skyvocal be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, or data; business interruption; or unauthorized access to your transmissions.

Our total liability for any claim arising from these Terms or Services shall not exceed the amounts paid by you during the twelve months prior to the claim.

Certain jurisdictions do not allow limitations of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Skyvocal, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of Services; violation of these Terms; violation of applicable laws; infringement of third-party rights; or content you transmit through our Services.

Confidentiality

Confidential Information. Both parties may disclose confidential information during the relationship. Confidential information includes business plans, technical data, customer lists, and pricing.

Obligations. The receiving party shall use confidential information only to perform obligations; protect information with reasonable care; and not disclose to third parties without consent. Send confidentiality notices to info@skyvocal.com.

Exclusions. Information that becomes public, was already known, or is independently developed is not confidential.

Governing Law and Dispute Resolution

Governing Law. These Terms shall be governed by the laws of [State/Country], without regard to conflict of law principles.

Dispute Resolution. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiations by contacting info@skyvocal.com. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of [Arbitration Association].

Class Action Waiver. You agree to resolve disputes on an individual basis and waive the right to participate in class actions.

Modifications to Terms

Entire Agreement

These Terms, together with any service agreements, order forms, and the Privacy Policy, constitute the entire agreement between you and Skyvocal regarding our Services.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of future enforcement.
